Terms of Service
These Terms of Service govern your access to and use of Alumia, the AI agent platform provided by Alumia, Inc.
1. Agreement to These Terms
These Terms of Service ("Terms") are a legal agreement between you and Alumia, Inc. ("Alumia", "we", "us", or "our"). By accessing alumia.com, creating an account, using the web application, using our APIs, or otherwise using Alumia (collectively, the "Services"), you agree to these Terms.
If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to both you and that entity.
2. The Services
Alumia lets users create workspaces, projects, AI agents, canvas blocks, files, integrations, and workflows that can use AI models, tools, browsers, terminals, connectors, and other services. The Services may include hosted model access, bring-your-own-key model access, credits, usage tracking, collaboration features, and administrative controls.
We may change, improve, suspend, or discontinue parts of the Services from time to time. We will try to provide reasonable notice when a material change affects paid usage, access to customer data, or security-relevant functionality.
3. Accounts and Organizations
You must provide accurate account information and keep your login credentials, API keys, OAuth grants, and other secrets secure. You are responsible for activity under your account and for the users, agents, and integrations you authorize within your organization.
Organization owners and administrators may invite users, assign roles, manage billing credits, configure bring-your-own-key providers, connect third-party services, and control access to organization data. You are responsible for ensuring your authorized users comply with these Terms.
4. Credits, Usage, and Payments
Alumia currently uses a usage-based credit model rather than recurring paid plans. You may add prepaid credits to an organization wallet. Credits are consumed based on usage, such as hosted AI model calls, tool execution, sandbox or browser usage, storage, and other metered platform costs shown in the product.
Credits are not a bank account, stored-value money instrument, or cash equivalent. Unless required by law or expressly agreed by us in writing, credits are non-refundable and may only be used for the Services. We may provide promotional credits, waivers, or trials that expire or have additional limitations.
If you use bring-your-own-key features, your external provider may charge you directly under that provider's terms. Alumia may still meter platform infrastructure usage, routing, storage, collaboration, or other services separately.
5. Your Content and Outputs
You retain ownership of prompts, messages, files, project data, agent configurations, connector data, and other content you submit to the Services ("Customer Content"). Subject to these Terms, we only use Customer Content to provide, secure, support, troubleshoot, and improve the Services, and as otherwise described in our Privacy Policy.
You are responsible for your Customer Content, for ensuring you have the rights needed to submit it, and for reviewing AI outputs before relying on them. AI outputs can be inaccurate, incomplete, or unsuitable for a particular purpose.
6. AI, Automation, and Human Review
Alumia can help automate research, drafting, browsing, coding, data processing, and third-party tool actions. You remain responsible for how you configure agents, what tools they can access, what actions they take, and whether human approval is required before an action affects another person, system, account, transaction, or legal right.
Do not use the Services as the sole basis for legal, medical, financial, employment, housing, insurance, criminal justice, or other high-impact decisions without appropriate professional and human review.
7. Acceptable Use
You may not use the Services to:
- violate applicable law or third-party rights;
- create, distribute, or facilitate malware or credential theft;
- abuse, disrupt, overload, or bypass security controls;
- send spam or unauthorized communications;
- generate or distribute unlawful, deceptive, or harmful content;
- attempt to reverse engineer non-public parts of the Services;
- use third-party connectors in violation of the connected provider's terms or permissions.
8. Third-Party Services and Model Providers
The Services may connect to third-party model providers, payment processors, infrastructure providers, browser or sandbox providers, analytics providers, and user-authorized integrations. Third-party services are governed by their own terms and privacy notices. We are not responsible for third-party services we do not control.
9. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create security risk, fail to pay required charges, abuse the Services, or if continued access would expose Alumia, our users, or third parties to legal or operational risk.
After termination, we may retain certain records as required for security, fraud prevention, legal compliance, accounting, dispute resolution, and legitimate business purposes.
10. Disclaimers and Limitation of Liability
The Services are provided "as is" and "as available" without warranties of any kind to the fullest extent permitted by law. We do not guarantee uninterrupted access, error-free operation, or that AI outputs will be accurate, complete, or fit for your intended use.
To the fullest extent permitted by law, Alumia will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from or related to the Services.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and take reasonable steps to notify users when required. Your continued use of the Services after an update means you accept the updated Terms.
